Alexandra Sadinsky is a Partner at Elsberg Baker & Maruri.
Her practice focuses on high-stakes corporate and commercial litigation, with particular experience in stockholder litigation, corporate governance disputes, mergers and acquisitions litigation, and complex commercial and securities matters.
Alexandra has represented corporations, investment funds, directors, officers, and other individuals in derivative and class actions and other complex disputes in the Delaware Court of Chancery, the Delaware Supreme Court, and other state and federal courts across the country. Her recent matters include disputes involving financial fraud, commercial contract claims, and trade secret misappropriation.
Alexandra served as a law clerk to the Honorable Denny Chin of the United States Court of Appeals for the Second Circuit and to the Honorable Claire C. Cecchi of the United States District Court for the District of New Jersey. She also served as an Adjunct Professor of Law in the First Year Legal Writing Program at Fordham Law School from 2020 to 2022.
Alexandra earned her J.D., magna cum laude, from Fordham Law School, where she was a Senior Articles Editor for the Fordham Law Review and a member of the Fordham Moot Court Board. She is currently a member of the Fordham Law Alumni Association Board of Directors.
Representative Matters
- Represented Barry Diller and IAC Inc. in litigation in the Delaware Court of Chancery and the Delaware Supreme Court challenging IAC’s spin-off of Match Group, Inc. Developed a legal framework that informed subsequent amendments to the Delaware General Corporation Law governing controlling stockholder transactions. The Delaware Supreme Court recently observed that “SB 21, and specifically subsections (b) and (c) of new § 144, codified the result that the defendants advocated, and we rejected, in Match.” Rutledge v. Clearway Energy Grp. LLC, 2026 WL 548504, at *7 (Del. Feb. 27, 2026).
- Represented Twitter, Inc. in the highly publicized Delaware Court of Chancery action against Elon Musk seeking to specifically enforce Musk’s agreement to acquire the company.
- Representing Soroc Technology Holdings, LLC and White Oak Global Advisors in a $115 million fraud action in the Delaware Court of Chancery relating to Soroc’s acquisition of DecisionOne Corporation. The action alleges that the seller and its private equity sponsor inflated DecisionOne’s revenues by generating fraudulent invoices for non-existent customers. The dispute may set important precedent regarding contractual limitations on liability for intentional fraud in M&A transactions.
- Represented traders hired by Millennium Management from Jane Street Capital in expedited litigation alleging misappropriation of a confidential trading strategy.
- Represented Presidio, Inc., its CEO, and independent directors in stockholder litigation challenging the $2.1 billion sale of Presidio to BC Partners. Defeated stockholders’ attempt to block the sale and later secured dismissal of fiduciary duty claims against the company’s independent directors.
- Represented Convergys Corporation in defeating a stockholder’s attempt to block its sale to Synnex Corporation.
- Represented Bremer Bank and its directors in litigation against the bank’s charitable trust majority owner to prevent a hostile takeover attempt.
- Represented Raytheon Technologies Corporation in class action litigation alleging that Raytheon, Carrier Global Corporation, and Otis Worldwide Corporation breached equity compensation plans in connection with United Technologies Corporation’s spin-off of Carrier and Otis and its subsequent merger with Raytheon Corporation. Secured dismissal of the complaint on a motion to dismiss.
- Represented current and former directors of Cardinal Health, Inc. in stockholder litigation relating to board oversight during the opioid epidemic. Secured dismissal of corporate waste claims tied to executive compensation.
- Represented current and former directors of Cardinal Health, Inc. in securities litigation arising from the company’s acquisition and integration of Cordis Corp.
- Represented Barry Diller, Alexander von Furstenberg, and the Diller Foundation in Delaware Court of Chancery litigation concerning Expedia Group’s acquisition of Liberty Expedia Holdings. Following appointment of a special litigation committee, negotiated a governance-only settlement.
- Represented LG Electronics, USA in a Section 225 action in the Delaware Court of Chancery brought by the founders of Alphonso Inc.
- Represented Match Group, Inc. and IAC Inc. in litigation, including a jury trial in state court, brought by early employees and executives of Tinder.
